LTIMindtree Limited has a strategic collaboration agreement with Amazon Web Services, Inc. and the company has partnered with eClinicalHealth Limited to enhance digital innovation in the clinical trial management process for patient-centred drug development.

The company was formerly known as Larsen & Toubro Infotech Limited and changed its name to LTIMindtree Limited in November 2022. The company was founded in 1996 and is headquartered in Mumbai, India. LTIMindtree Limited is a subsidiary of Larsen & Toubro Limited.

LTIMindtree starts life in the big league

MUMBAI: The Mumbai and Bengaluru Chambers of the National Company Law Tribunal have approved the merger of Larsen & Toubro Infotech Ltd (LTI) with technology consulting and digitization firm Mindtree Ltd. so that LTIMindtree now operates as a separate entity.

The companies had announced their intention to merge in May. Under the merger agreement, all Mindtree shareholders will receive LTI shares at a ratio of 73 LTI shares for every 100 Mindtree shares. The parent company, L&T, will hold the following shares 68.73% in the merged entity. The record date for determining Mindtree shareholders entitled to the issuance of LTI shares was set for November 24.

“The merger will make L&T the sixth largest company in IT by revenue and market capitalization, while we will be the fifth largest,” said A. M. Naik, Group Chairman of L&T and Chairman of LTIMindtree. “Historical performance and recent changes in the industry show that a larger company has significant advantages when it comes to a better margin profile and greater participation in large deals, as well as a greater ability to create end-to-end offerings and add significant value.”

“The combined company will build on the growth momentum, with different capabilities and with better access to new customers in complementary industries and tremendous cross-selling and up-selling opportunities. Through cross-fertilisation, it will provide greater value to both new and existing customers,” Naik said. LTIMindtree targets double-digit growth within five years with higher revenues margins, he said.

“We have consistently given 14.5-15% PAT (profit after tax) and we think we will not only continue that sustainably but also try to improve it,” he said.

Naik expects the merger to result in cost savings of at least 1-1.5%. L&T also expects the IT business to contribute about 26% to the group’s total business by 2026, but the contribution to the group’s market capitalization could be much higher, he said.

The group’s IT business , which includes LTI Mindtree and L&T Technology Services, is expected to generate $5.2 billion in revenue this year. Naik expects the IT division’s revenue to exceed $6 billion next year.

Debashis Chatterjee, chief executive and managing director of LTIMindtree, expects the merger to yield a number of synergies for the company’s growth.

“There are natural synergies in terms of capabilities. There are areas where Mindtree is strong, and there are areas where LTI is strong. In terms of industries, there’s not a lot of overlap.
